Plan the export before access ends.
A deletion promise and a usable export solve different problems.
The question to ask
Check export formats, timing, cost, assistance, backup retention, and how long access continues after termination. Determine who validates the exported data before requesting deletion.
Illustrative clause — not a court case
Hypothetical wording: Vendor deletes Customer Data upon termination. That sentence does not promise a usable copy first or describe permitted backup retention.
Source and legal limits
The pinned SaaS and vendor-review checklists treat data terms, incorporated DPAs, continuity, and exit as connected review issues. They do not prescribe a universal legal retention period. Legal holds and sector-specific obligations require separate review.
What can go wrong
An immediate cutoff can make a migration impossible. An export may omit relationships or metadata. A promise to erase all backups instantly may be operationally unrealistic and conflict with other duties.
A focused negotiation
Discuss an export window, agreed format, transition assistance and charges, followed by deletion with defined exceptions and continuing protection. Obtain the DPA and test a sample export. Assign someone to verify completion.
